SGUDA Terms of Service

1. Introduction
Welcome to SGUDA.
These Terms of Service (“Terms”) govern your access to and use of the SGUDA official website, SGUDA App, SGUDA smart lock-related online features, and other related services provided by SGUDA INC. (“SGUDA,” “we,” “us,” or “our”), collectively referred to as the “Services.”
These Terms apply to:
- The SGUDA official website (sguda.com)
- The SGUDA App
- SGUDA smart lock-related online services
- Other SGUDA services that link to these Terms
By accessing or using the Services, you agree to comply with these Terms and applicable laws and regulations.
If you do not agree to these Terms, please discontinue use of the Services.
2. Eligibility
You must have the legal capacity under applicable law to agree to these Terms and use the Services.
If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.
3. SGUDA Accounts
Certain SGUDA Services may require you to create an account.
When creating or using a SGUDA account, you agree to:
- Provide accurate and appropriate account information
- Keep your account and login credentials secure
- Prevent unauthorized persons from accessing your account
- Take responsibility for activities conducted through your account
- Notify SGUDA promptly if you become aware of unauthorized use of your account
Responsibility for unauthorized access or activity resulting from failure to adequately protect your account, login credentials, mobile device, or other authentication methods will be determined in accordance with applicable law and the circumstances involved.
4. SGUDA App and Smart Lock Services
The SGUDA App may be used with compatible SGUDA smart locks and related devices.
Available features may vary depending on the product model, hardware version, App version, region, network environment, and other conditions, and may include:
- Smart lock pairing and management
- Bluetooth connectivity
- Wi-Fi and network-related functionality
- Door unlocking and lock operation
- User or access permission management
- Lock/unlock and activity records
- Device status information
- Other smart lock-related functionality
Certain features may require an Internet connection, Bluetooth, location permission, compatible devices, or other system permissions to function properly.
5. User and Access Management
Certain SGUDA products may allow account administrators to add users or grant access permissions to smart locks.
You are responsible for reviewing:
- The identity of authorized users
- The scope of permissions granted
- The duration of access
- Whether access remains necessary
If you authorize another person to use your smart lock, account, passcode, card, fingerprint, key, or another unlocking method, you are responsible for appropriately managing and revoking such access when it is no longer required.
Available access management features may vary by product model and Service version.
6. Acceptable Use
You agree to use the Services only for lawful purposes.
You must not:
- Access, control, or attempt to control another person’s account, smart lock, or device without authorization
- Circumvent, disable, damage, or interfere with SGUDA security or authentication mechanisms
- Attempt to gain unauthorized access to systems, servers, or data
- Use the Services for unlawful, fraudulent, rights-infringing, or harmful activities
- Distribute malware, viruses, or other code intended to disrupt the Services
- Use the Services in a manner that may damage, overload, or interfere with SGUDA systems or Services
- Where prohibited by applicable law, perform unauthorized reverse engineering or circumvent technical protection measures
If we reasonably believe that an account or activity may threaten the security of users, third parties, SGUDA, or the Services, we may restrict or suspend access where permitted by applicable law.
7. Internet, Bluetooth, and Third-Party Services
Certain SGUDA features depend on:
- Internet connectivity
- Wi-Fi
- Bluetooth
- Mobile devices and operating systems
- Google / Google Cloud
- Firebase
- Other necessary third-party technology services
These services may become temporarily unavailable due to network interruptions, signal quality, third-party outages, maintenance, device settings, operating system restrictions, or other circumstances outside SGUDA’s reasonable control.
Accordingly, we cannot guarantee that all online, remote, or connectivity-based features will operate continuously at all times, locations, or under all conditions.
8. Safety and Smart Lock Use
SGUDA smart locks and related Services are designed to provide lock control, access management, and related convenience features. However, no lock, electronic device, online service, or security system can eliminate all security risks.
Users should take reasonable security measures appropriate to their circumstances, including:
- Keeping passcodes, keys, cards, and login credentials secure
- Regularly reviewing users and access permissions
- Confirming that doors and locks are properly closed and secured
- Maintaining adequate power for devices
- Maintaining devices according to product instructions
- Keeping an appropriate backup method of access where necessary
SGUDA smart locks and the App should not be considered the sole measure for guaranteeing prevention of unauthorized entry, theft, property damage, personal injury, or other security incidents.
9. Software Updates and Service Changes
We may update the SGUDA App, website, cloud systems, or related Services from time to time to:
- Add or improve features
- Correct errors
- Improve security
- Maintain compatibility with devices or operating systems
- Meet technical or legal requirements
Features may be added, modified, or discontinued depending on software versions, product models, device compatibility, regions, or other factors.
Where reasonably practicable and required by applicable law, we will provide appropriate notice of material changes to the Services.
10. Third-Party Services and Links
The SGUDA website or App may use or contain links to third-party websites, platforms, or services.
Third-party services are governed by their respective terms and privacy policies. SGUDA does not control the content, availability, or data practices of third-party services.
You should review the applicable terms and policies before using third-party services.
11. Intellectual Property
Unless otherwise stated, content made available through the SGUDA website, App, and related Services, including but not limited to:
- The SGUDA name and trademarks
- Logos
- Software
- User interfaces
- Text
- Images
- Graphics and designs
- Product information
- Other content provided by SGUDA
is owned by or licensed to SGUDA INC. or the applicable rights holders.
You may not copy, modify, distribute, sell, license, or otherwise exploit such content in violation of applicable law or the rights of the applicable owner without appropriate authorization.
12. Privacy and Personal Information
For information about how we collect, use, store, and protect personal information, please review the SGUDA Privacy Policy.
Information processed through the SGUDA website, App, and related Services will be handled in accordance with our Privacy Policy and applicable law.
13. Account Deletion and Termination
You may delete or request deletion of your SGUDA account through available SGUDA App functionality or by contacting us.
After account deletion, you may no longer be able to use features that require a SGUDA account. Information associated with your account will be deleted, anonymized, or retained where necessary in accordance with the SGUDA Privacy Policy.
If you materially violate these Terms, misuse the Services, threaten the security of users or systems, or if we are legally required to take action, we may restrict, suspend, or terminate your access to some or all of the Services where permitted by applicable law.
14. Service Availability
We aim to maintain the reliable operation of the SGUDA Services, but we do not guarantee that the Services will always be uninterrupted, delay-free, or error-free.
The Services may be affected by:
- System maintenance or updates
- Internet or Wi-Fi connectivity issues
- Bluetooth communication issues
- Power or device problems
- Third-party service outages
- Mobile device or operating system restrictions
- Natural disasters, accidents, or other events outside our reasonable control
We will make reasonable efforts to maintain and improve the Services.
15. Limitation of Liability
To the maximum extent permitted by applicable law, SGUDA’s liability for losses resulting from interruptions to the Services, network or third-party failures, device configurations, unauthorized use, user actions, or other circumstances outside SGUDA’s reasonable control will be determined in accordance with applicable law and the specific circumstances.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including rights provided under applicable consumer protection laws.
16. Product Warranties and After-Sales Service
Warranties, repairs, returns, replacements, and other after-sales services for SGUDA smart locks and other physical products may be subject to separate product warranty terms, purchase conditions, retailer or distributor policies, and applicable local laws.
These Terms do not replace any applicable product warranty or consumer rights provided by law.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes to our Services, products, technology, legal requirements, or business practices.
Updated Terms will be posted on the SGUDA official website or another appropriate location, and the “Last Updated” date at the top of this page will be revised.
Where required by law, we will provide appropriate notice of material changes.
18. Governing Law
These Terms and matters relating to your use of the Services will be governed and interpreted in accordance with applicable law.
If mandatory consumer protection or other laws in your jurisdiction provide rights that cannot be waived by contract, nothing in these Terms affects those rights.
